Terms of Service

These Terms of Service ("Terms") govern access to and use of PriceCrew (the "Service"), a pricing and estimating tool for contractors, provided by PriceCrew LLC ("PriceCrew," "we," "us," or "our"). By creating an account or using the Service, you ("you," "your," or "Customer") agree to these Terms. If you do not agree, do not use the Service.

1. Who May Use PriceCrew

You must be at least 18 years old and able to form a binding contract to use the Service. If you use PriceCrew on behalf of a company, you represent that you have authority to bind that company to these Terms, and "you" refers to that company.

PriceCrew is built for contractors and trade businesses of any type — electrical, general contracting, plumbing, HVAC, and beyond. Nothing in these Terms limits use to a particular trade.

2. Accounts

• You must provide accurate, current information when creating an account and keep it up to date.
• You are responsible for all activity under your account and for keeping your login credentials confidential.
• Notify us promptly at the contact address below if you suspect unauthorized use of your account.
• Team ("Crew") plans allow you to invite additional users. You are responsible for your team members' compliance with these Terms.

3. Subscription Plans and Billing

• Plans. PriceCrew is offered on subscription plans described at getpricecrew.com/pricing, including a Solo plan for individual users and a Crew plan for teams. Plan features, seat limits, and pricing may be updated from time to time; we will give notice before a price increase takes effect for existing subscribers.
• Founding Member pricing. Customers who subscribe during a launch promotional window may lock in discounted "Founding Member" pricing for as long as their subscription remains active and in good standing, subject to any terms disclosed at signup.
• Free trial / beta period. We may offer a free trial or free beta period. At the end of that period, continued use requires an active paid subscription unless we state otherwise.
• Billing. Subscriptions are billed in advance on a monthly or annual basis through our payment processor (currently Stripe). By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
• Taxes. Fees are exclusive of applicable taxes, which you are responsible for unless we are required by law to collect them.
• Failed payments. If a payment fails, we may suspend access to paid features until payment is resolved.

4. Cancellation and Refunds

• You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods except where required by law.
• We may terminate or suspend your account for violation of these Terms, non-payment, or as described in Section 9.
• Upon cancellation or termination, you may export your Price Book data for a reasonable period (at least 30 days) before it is deleted from our systems, except where we are required to delete it sooner (see Privacy Policy).

5. Your Data and Price Book Content

• You own your data. Any pricing data, price books, cost lists, job estimates, project details, or other content you upload or create in PriceCrew ("Customer Data") remains your property. We do not sell your Customer Data.
• License to operate the Service. You grant us a limited license to host, store, process, and display your Customer Data solely to provide and improve the Service to you.
• Accuracy disclaimer. PriceCrew helps you organize and calculate pricing based on data and formulas you provide or configure. We do not guarantee the accuracy of supplier pricing, material costs, labor rates, or any estimate generated using the Service. You are responsible for verifying pricing and estimates before presenting them to your customers or relying on them for bids.
• Export. You may export your Price Book and estimate data in standard formats (e.g., CSV) at any time while your account is active.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation;
• Upload data you do not have the right to use or share (e.g., a competitor's proprietary pricing obtained improperly);
• Attempt to reverse-engineer, resell, or white-label the Service without our written permission;
• Interfere with or disrupt the integrity or performance of the Service, including by introducing malware or attempting unauthorized access;
• Use automated means to scrape or extract data from the Service beyond normal use of provided export features;
• Share a single-user account across multiple individuals in a way that circumvents seat-based pricing.

We may suspend or terminate accounts that violate this section.

7. Third-Party Services

PriceCrew may integrate with or rely on third-party services (for example, payment processing via Stripe, cloud hosting, or, in the future, optional integrations with accounting or job-management tools such as QuickBooks Online or Jobber). Your use of those integrations may be subject to the third party's own terms. We are not responsible for the acts or omissions of third-party services.

8. Intellectual Property

The Service, including its software, design, trademarks (including "PriceCrew" and associated logos), and underlying technology, is owned by PriceCrew LLC or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.

9. Termination

We may suspend or terminate your access to the Service if you materially breach these Terms and do not cure the breach within a reasonable time after notice, if required by law, or if we discontinue the Service (with reasonable advance notice where possible). You may terminate at any time as described in Section 4.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ESTIMATES OR CALCULATIONS PRODUCED BY THE SERVICE WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR BID OR PROJECT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICECREW AND HEBERT & SON ELECTRICAL SERVICE CO. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless PriceCrew LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Service, including estimates or bids you submit to your own customers based on data from the Service.

13. Changes to the Service or These Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in New Hampshire, and you consent to personal jurisdiction there.

15. Miscellaneous

• Entire agreement. These Terms, along with the Privacy Policy, constitute the entire agreement between you and PriceCrew regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
